• Digital Delivery / Refunds: Our products are delivered digitally. All sales are final except as required by law or as expressly stated (e.g., if membership is denied after background screening, we refund minus the non-refundable screening fee).

• Directory Listings: Informational only. We don’t endorse or warrant listed providers. Do your own due diligence.

• Privacy: We follow our posted Privacy Policy and comply with CCPA/CPRA to the extent applicable. We do not sell personal data.

• Disputes: Most disputes are resolved by binding arbitration under the Federal Arbitration Act with Texas law, except that either party may seek court injunctions for IP misuse or similar equitable relief.

• Liability Limits: Services are provided “AS IS.” Our aggregate liability is limited (see Section 13).

1) Definitions

“Company,” “we,” “us,” or “our” means Age Safe, Inc.
“User,” “you,” or “your” means the person or entity using the Sites or purchasing Services.
“Sites” means agesafeamerica.com, agesafedirectory.com, and any portals or subdomains (including agesafe.talentlms.com).
“Services” include our online courses, certifications, memberships, directory listings, coaching/advisor programs, and related materials and content.

2) Acceptance of Terms

By accessing the Sites or purchasing/using any Services, you agree to these Terms & Conditions (“Terms”). If you purchase a bundle (e.g., course + membership + coaching), each relevant product-specific section applies in addition to the general sections herein. Do not use the Services if you disagree.

3) Scope of Services and Core Disclaimers

Educational Use Only (No Medical/Professional Advice). All information is for educational purposes only and does not constitute medical, diagnostic, clinical, legal, financial, or other professional advice. We are not a healthcare provider, do not practice medicine or nursing, and do not provide medical or clinical services. You must consult qualified professionals for medical or other professional guidance. If you are experiencing an emergency, call your local emergency number (e.g., 911).

No Business Opportunity / Earnings Claims. Nothing in our Services creates a franchise, distributorship, or “business opportunity” under 16 C.F.R. § 436 or state law. We offer no income, leads, or success guarantees. Any examples or testimonials are illustrative only; outcomes depend on your efforts and market conditions.

Independent Relationship. No partnership, agency, joint venture, or employment is created by your use of the Services or purchase of any product.

4) Eligibility and Accounts

You must be at least 18 and able to form a binding contract. You are responsible for maintaining the confidentiality of your credentials and for all activity on your account. Provide accurate information and keep it current.

5) Purchases, Payments, Digital Delivery, Refunds, and Taxes

Prices and Payment. Prices are shown at checkout and processed through approved payment processors.

Digital Delivery. Courses, credentials, memberships, and related materials are delivered digitally and may be available immediately upon purchase; by purchasing, you acknowledge and consent to digital delivery.

Refunds. All digital sales are final except where required by law or expressly stated. If a membership is denied after background screening, we refund amounts paid minus the non-refundable screening fee. If we remove your directory content for violating these Terms, fees are not refunded.

Taxes. You are responsible for all applicable sales, use, or other taxes (excluding our income taxes).

6) Intellectual Property and Brand Use

All content on the Sites—including text, images, graphics, video, audio, designs, software, trademarks, and service marks—is owned by or licensed to Age Safe, Inc. and protected under U.S. and international law. Our marks include, without limitation: Age Safe®, Age Safe® America, Senior Home Safety Specialist®, Aging in Place Essentials®, Advancing Successful Aging at Home®, and other associated marks and logos.

Unless expressly authorized in writing, you may not reproduce, distribute, publicly display, publicly perform, create derivative works from, reverse engineer, or otherwise exploit any content. We reserve the right to seek injunctive relief, damages, and attorneys’ fees for infringement or misuse.

Graduate/Member Brand Use. Graduates and members in good standing may use approved designations/emblems strictly in accordance with our brand guidelines. We may request samples and revoke permission for non-compliance.

7) User-Generated Content and Directory Listings

You are responsible for content you submit (e.g., profile data, descriptions, messages, images). By posting, you grant us a worldwide, non-exclusive, transferable, sublicensable, royalty-free license to use, host, store, reproduce, modify, adapt, publish, translate, create derivative works, and display such content to operate, improve, and promote the Directory and Services. You represent and warrant you have rights to your content and that it does not infringe others’ rights. We may edit, refuse, or remove content at any time.

Directory Disclaimer. The Directory is informational only. We do not endorse, screen, qualify, or warrant providers beyond any limited membership or credential status we expressly describe. Even “verified” status, where applicable, relates only to the member at a point in time and does not extend to employees, subcontractors, or future conduct. Users must perform their own due diligence (e.g., checking references, licenses, insurance, and credentials). We are not a party to, or responsible for, any transaction or relationship between users and providers.

8) Acceptable Use

You agree not to: (a) use the Sites for unlawful, deceptive, harassing, defamatory, pornographic, or discriminatory purposes; (b) impersonate others or misrepresent your affiliation; (c) collect personal data in violation of law; (d) access the Sites by automated means (scraping, crawling, spiders, bots) without our written permission; (e) attempt to bypass security or interfere with operation; or (f) use the Directory data for unauthorized commercial purposes. We may suspend or terminate access for violations.

9) DMCA Policy (Copyright)

If you believe material on the Sites infringes your copyright, notify our DMCA Agent at support@agesafeamerica.com (or by mail to the address above) with all elements required under 17 U.S.C. § 512(c)(3). If your content was removed in error, you may submit a counter-notification under § 512(g). We may terminate access for repeat infringers.

10) Product-Specific Terms

A) Courses & Certifications
• Access. Access is via our LMS; completion periods or module prerequisites may apply.
• Certificates. Digital certificates are issued upon successful completion.
• CEUs. CEU availability and reporting vary by profession and jurisdiction; some CEUs are self-reported.
• Restrictions. Course content may not be shared, resold, reproduced, or reverse-engineered.
• Designation/Emblems. Only graduates in good standing may use any designation/emblem per brand guidelines. Annual or periodic recertification may be required to maintain use.

B) Memberships & Directory
• Background Screening. Membership may require successful completion of a background check. If denied, we refund minus the non-refundable screening fee.
• Emblem License. Members in good standing may use the Proud Member emblem per brand guidelines.
• Listings. We may edit, reorder, or remove listings at our discretion. Visibility or traffic is not guaranteed.
• No Endorsement. Listing does not constitute endorsement or warranty of services.

C) Coaching / Advisor Programs
• Educational Only. Coaching/advisor services are educational and are not business, legal, or financial advice.
• No Guarantees. No promise of results, income, or client acquisition.
• Confidentiality/Use. Materials are for your internal use and may not be resold, republished, or redistributed.

D) Bundles
If you purchase a bundle (e.g., course + membership + coaching), the corresponding sections above apply collectively. In the event of a conflict among product-specific terms, Coaching governs over Membership, which governs over Courses.

11) Privacy and Data Use

Use of the Sites is subject to our Privacy Policy posted on agesafeamerica.com and/or agesafedirectory.com. We implement reasonable administrative, technical, and physical safeguards to protect personal information. We do not sell personal data. We comply with the California Consumer Privacy Act (CCPA/CPRA) to the extent applicable and COPPA (we do not knowingly collect information from children under 13). Third-Party Providers. We use reputable third parties to deliver Services (e.g., payment processors like Stripe/PayPal, LMS providers like TalentLMS, CRM/email tools). Your use of certain features may be subject to those providers’ terms and privacy policies.

12) Dispute Resolution; Arbitration; Equitable Relief

Informal Process First. Before filing any claim, you agree to email support@agesafeamerica.com with a description of the dispute and allow up to 30 days for informal resolution.

Binding Arbitration (FAA). Except for (i) claims within small-claims jurisdiction or (ii) actions seeking injunctive or other equitable relief to protect intellectual property, confidential information, or the Services, any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration under the Federal Arbitration Act before JAMS or AAA in Dallas County, Texas, administered under the applicable rules for consumer or commercial disputes. One neutral arbitrator will apply Texas law (without regard to conflict-of-laws rules).

Class-Action Waiver. Only individual claims may be brought; class, collective, or representative actions are not permitted.

Opt-Out. You may opt out of this arbitration agreement within 30 days of first agreeing to these Terms by emailing support@agesafeamerica.com with subject line “Arbitration Opt-Out” and your name and the email used for your account.

Venue for Non-Arbitrable Claims. For claims not subject to arbitration, the parties consent to the state and federal courts in Dallas County, Texas.

13) Warranties; Limitation of Liability

AS-IS / AS-AVAILABLE. To the fullest extent permitted by law (including the Magnuson-Moss Warranty Act and applicable state law), the Services and all content are provided “AS IS” and “AS AVAILABLE.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, quiet enjoyment, accuracy, and non-infringement.

Limited Liability. To the fullest extent permitted by law, our total aggregate liability for any claims arising out of or relating to the Services shall not exceed the greater of: (a) the amount you paid for the specific Service in the 12 months preceding the event giving rise to the claim; or (b) $25 for users who have not purchased a paid Service. We shall not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, lost profits, loss of data, or business interruption. These limits do not apply to our willful misconduct or gross negligence, or to our IP enforcement claims.

14) Indemnification

You agree to defend, indemnify, and hold harmless Age Safe, Inc., and its officers, directors, employees, contractors, agents, licensors, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your content or misuse of the Services; (b) your breach of these Terms; or (c) your interactions or transactions with third parties (including Directory providers or consumers).

15) Force Majeure

Neither party is liable for failure or delay due to events beyond reasonable control (including acts of God, natural disasters, war, terrorism, labor disputes, epidemics/pandemics, governmental actions, utility or Internet failures). Performance resumes as soon as reasonably practicable.

16) Liquidated Damages for Unauthorized Use of Directory Data

Unauthorized scraping, copying, or commercial exploitation of Directory content is a material breach. You agree to liquidated damages up to $3,000 per day for each day of unauthorized use as a reasonable pre-estimate of harm (not a penalty), in addition to our rights to injunctive relief and other remedies.

17) Electronic Communications Consent

You consent to receive notices, disclosures, and records electronically under the E-SIGN Act. You may withdraw consent by contacting support@agesafeamerica.com, but doing so may affect your ability to use the Services.

18) Accessibility

We strive to make our Sites accessible in accordance with applicable standards (e.g., WCAG). For assistance, email support@agesafeamerica.com.

19) Updates to These Terms

We may update these Terms by posting a revised version with a new Effective Date. Your continued use after the Effective Date constitutes acceptance. If a change materially affects purchased Services, we will use reasonable efforts to notify you.

20) Miscellaneous

Entire Agreement. These Terms, together with policies referenced herein (e.g., Privacy Policy, brand guidelines), constitute the entire agreement and supersede prior or contemporaneous understandings regarding the Services.

Assignment. You may not assign these Terms without our written consent. We may assign these Terms (e.g., in a merger, acquisition, or asset sale).

Severability. If any provision is deemed unenforceable, the remaining provisions remain in full force and effect.

Waiver. Failure to enforce a provision is not a waiver of the right to enforce it later.

Headings. Headings are for convenience only and do not affect interpretation.

Survival. Sections 6–8, 10–14, 16–20 survive termination.

Governing Law. Subject to applicable federal law (including the FAA), these Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules.

California Consumers. To the extent mandatory California consumer protections are required by law for California residents, those protections apply and control in case of conflict with these Terms.
